Molins has locked in a deal with Portuguese investment group Semapa, which will see it acquire Secil Companhia Geral de Cal e Cimento.

Secil, headquartered in Lisbon, has a strong presence in the Lisbon construction materials market and in eight markets overall. It has interests in cement, concrete, aggregates, construction solutions, and circular-economy products, with more than 2900 employees.

According to Molins, Secil is valued at 1.4 billion euros and will support its presence in Europe and other global markets.

Molins chief executive officer Marcos Cela said the deal will stengthen its European operations and international presence including in Brazil.

“This agreement is a key milestone in Molins’ strategy. Secil brings a strong international presence and a robust culture rooted in its family industrial heritage, with values we deeply share,” he said.

“Combining our strengths will allow us to grow with a more diversified and resilient profile, while reinforcing our commitment to sustainability. Together, we will expand our offering of high-value, circular, and low-carbon solutions for our customers, creating new opportunities for our people. We are excited to integrate Secil’s 2900 professionals into Molins.”

The deal is subject to customary closing conditions but is expected to close in the first quarter of 2026.

“Secil is part of Semapa’s origins and will always hold a special place in our history. I want to express my gratitude to the Secil team for their extraordinary track record of growth and value creation in recent years,” Semapa chief executive officer Ricardo Pires said.

“This transaction is a strategic step for the group, allowing us to strengthen our capacity to invest, innovate, and accelerate the strategy we have been implementing. We are pleased to see Secil join such a relevant construction solutions company with a global presence and also owned by a family with a long-term vision, guaranteeing the company’s future development.”
